Referral Program Terms

These Referral Program Terms are a draft under legal review and may change before the referral program launches to all members. They are provided for transparency about how the program is intended to work.
1. Overview & Acceptance
These Referral Program Terms ("Referral Terms") govern the PaceLab member referral program. They incorporate, and are in addition to, the main Terms of Service by reference. By sharing your referral link or otherwise participating, you agree to these Referral Terms.
2. Definitions
- Referrer — an existing member in good standing who shares their personal referral link or code.
- Referred Friend— a new user who signs up using a Referrer's link or code and has never previously subscribed to PaceLab.
- Qualifying Conversion— a Referred Friend's first paid subscription invoice that clears and remains non-refunded and non-disputed through the applicable refund window.
- Reward / Credit — the extended access granted to a Referrer for a Qualifying Conversion (see §5).
3. Eligibility
To refer, you must have an active account in good standing and be at least 16 years old (consistent with §4 of the main Terms). A valid Referred Friend must be a new user who has never previously subscribed, and must redeem the referral within the trial window.
4. How Referrals Work
Share your personal referral link or code. When your Referred Friend signs up through it, they receive a 30-day free trial. When that friend subscribes and their first paid invoice clears the refund window, the referral becomes a Qualifying Conversion and your Reward is granted.

5b. Referrer
One month of extended access (service credit) per Qualifying Conversion, granted after the Referred Friend's first paid invoice clears the refund window.
5c. Delivery by Billing Provider
How a Reward is applied depends on how you are billed. For some members the credit is applied to their account balance; for members billed through a mobile app store (e.g. Apple), and for annual plans, the Reward is delivered as extended access applied at your next billing transition rather than as an immediate change to any existing subscription charge. Platform billing rules govern exactly how and when a credit can be applied (see §11).
6. Caps & Limits
- Up to 12 Rewards per Referrer per calendar year.
- One trial per email address.
- We may apply velocity, IP, and anti-abuse limits, and no self-referral is permitted.
7. Prohibited Conduct
The following are prohibited: self-referral; creating duplicate or cycled accounts; broadcasting codes publicly as if organic; and buying or otherwise paying for signups. Referral links are for genuine person-to-person sharing.
8. Fraud, Forfeiture & Clawback
We reserve the right to withhold, rescind, or recover (claw back) a Reward if the underlying conversion is refunded, charged back, or disputed, or if the account is later found not to be in good standing. Fraud or abuse may result in forfeiture of Rewards and, at our discretion, account termination (see §6 Acceptable Use and §10 Termination of the main Terms).
9. No Cash Value; Service Credit Only
Rewards are service credit, have no cash value, and cannot be exchanged for cash. You are responsible for any taxes that may apply to Rewards you receive. (The separate PaceLab affiliate/partner program, which pays cash commissions, has its own terms.)
10. Program Modification & Termination
We may change the Reward amounts, caps, or eligibility, or end the referral program entirely, at any time. Already-earned Rewards will be handled per the policy in effect when they were earned.
11. Platform Billing Disclosure
Apple, Google, and other platform billing rules govern how and when a Reward can be applied to accounts billed through those platforms. For app-store-billed and annual members, a Reward may be delivered as extended access rather than a change to an existing charge. We do not control, and cannot pause, skip, or credit an existing platform subscription charge outside those platforms' rules.
12. Governing Law & Contact
These Referral Terms are governed by the laws of the State of Arkansas, United States, consistent with the main Terms of Service. PaceLab is operated by Hinson Ventures LLC, Little Rock, Arkansas, United States.
